1. Introduction

Welcome to Global Markets Center. These Terms and Conditions of Service ("Terms") govern your access to and use of Global Markets Center's website, services, and applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Service.

2. Definitions

  • Company: Refers to Global Markets Center, LLC.
  • Service: Refers to the website, load board, and all related motor carrier and freight transportation services provided by Global Markets Center.
  • Shipper: Any individual or entity that uses the Service to arrange for the transportation of goods.
  • Carrier: Any individual or entity that uses the Service to find and accept freight transportation opportunities.
  • Load Board: The online platform provided by the Company that connects Shippers with Carriers for freight transportation.
  • Goods: The cargo, freight, or items transported or to be transported via the Service.

3. Role of Global Markets Center

Global Markets Center operates as a motor carrier, providing direct transportation of Goods for Shippers. We own and operate our transportation equipment and are directly responsible for the physical carriage, handling, and delivery of the Goods.

4. Shipper's Responsibilities

Shippers are responsible for providing accurate and complete information regarding the Goods, including description, weight, dimensions, origin, destination, and any special handling requirements (e.g., temperature control, hazardous materials). Shippers must ensure Goods are properly packed, marked, and ready for transport. Shippers are solely responsible for all freight charges and any additional fees incurred due to inaccurate information or delays caused by the Shipper.

5. Carrier's Responsibilities

Carriers are responsible for possessing and maintaining all necessary licenses, permits, and insurance required for the transportation of Goods. Carriers must ensure their equipment is in safe operating condition and that they comply with all applicable federal, state, and local laws and regulations. Carriers are responsible for the safe and timely pickup and delivery of Goods as agreed upon through the Load Board.

6. Payment Terms

All charges for services rendered by Global Markets Center are due and payable as per the agreed-upon terms. Invoices are typically due within [X] days of the invoice date. Late payments may incur interest charges at a rate of [Y]% per month. Shippers are ultimately responsible for all freight charges, even if a third party is designated for payment and defaults.

7. Limitation of Liability

As a motor carrier, Global Markets Center assumes liability for the Goods it transports, subject to the terms and limitations outlined in the bill of lading and applicable law. All claims for loss, damage, or delay should be filed directly with Global Markets Center in accordance with our claims process. In no event shall Global Markets Center be liable for special, incidental, consequential, or punitive damages, including but not limited to lost profits or business interruption, except as provided by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Global Markets Center, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your breach of these Terms, or your violation of any law or the rights of a third party.

9. Hazardous Materials

Shipment of hazardous materials is subject to strict regulations. Shippers must declare any hazardous materials in advance and comply with all applicable laws and regulations, including proper labeling and documentation. Global Markets Center reserves the right to refuse to arrange for the transport of hazardous materials if proper procedures are not followed. Shippers are liable for any damages, fines, or penalties resulting from the undeclared or improper shipment of hazardous materials.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida.

12. Changes to Terms

Global Markets Center reserves the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
